Kathleen worked for Shanghai Junyue Law Firm and the Shanghai branch office of leading PRC law firm Wang Jing & Co., before joining R&P.
Now a Partner, Kathleen assists foreign companies in establishing a business presence throughout China, mainly through M&A transactions and joint ventures, and providing legal services on general corporate matters relating to their incorporation, operation and termination. She also advises on investment structures and exit strategies, international commercial transactions, tax compliance and customs matters, and represents businesses in negotiations with counterparts and government departments.
Kathleen frequently supports clients on major M&A transactions where she takes charge of managing due diligence, designing deal structures, drafting and negotiating relevant transaction documents, implementing transactions and dealing with relevant government procedures until closing. Her work also includes completing MOFCOM anti-trust filings and related processes.
Her active tax practice advises on compliance and supports projects with a tax impact
She represents international clients in commercial projects in China, including tenders with Chinese government departments and state-owned companies.
Kathleen is the co-author of the China chapter of Corporate Acquisitions and Mergers (2010) published by Kluwer Law International. She was a major contributor to Cash Pooling and Insolvency: A Practical Global Handbook, Second Edition (2016) published by Globe Law and Business.
She was educated at the Shanghai Institute for Foreign Trade and Shanghai’s Fudan University (LL.M.). She has been licensed as a PRC lawyer since 2007.
Kathleen is fluent in Mandarin and English.
